Welcome to Quantex. Please read this agreement carefully. This Agreement (the "Agreement") is a legally binding contract between you, as a user of Quantex Services ("You" or the "User"), and QUANTEX ROBOTICS & SMART MACHINES TRADING L.L.C ("Quantex", "We", "Us", or "Our").

By using or accessing Quantex Services, you agree to be bound by the terms and conditions of this Agreement, including the Privacy Policy incorporated herein by reference. If you are using the Services on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization to this Agreement. If you do not agree to any of these terms, you must not use Quantex Services.

1. Description of Services

Quantex provides a suite of innovative, AI-powered solutions designed to enhance the event experience and business management (the "Services"). The Services include, but are not limited to:

• AI-Powered Avatars: Interactive and customizable avatars providing instant engagement and support to participants, capable of processing inquiries, providing information, and assisting with event navigation.

• Smart Registration: Efficient registration solutions leveraging NFC technology (via QID cards) and biometric data (such as facial and voice recognition), enabling swift and personalized check-in for participants and speakers.

• Analytics Suite: Powerful tools for tracking real-time event data, including session attendance, participant behavior analysis, live sentiment analysis, and providing comprehensive reports and insights for future event improvement and decision-making.

• Event Knowledge Bank: A platform for storing event data, including session insights, speaker content, and participant interactions, creating a valuable knowledge repository for post-event use and future content planning.

• Adaptive AI Networking Assistance: AI-powered tools facilitating connections between participants and relevant stakeholders based on interests and interactions.

• Seamless Event Operations Solutions: AI-backed tools aimed at streamlining operational tasks for events.

The Services are configurable and offered in different packages (Basic, Standard, Premium) based on the specific needs of each event or business project. The full details of the features included in each package and pricing model will be specified in the specific Service Agreement concluded separately for each event or project.

2. User Eligibility

You must be a legal entity (such as a company or organization) or an individual at least 18 years of age and possess the full legal capacity to enter into this Agreement. By using the Services, you represent and warrant that you meet these eligibility criteria. Quantex Services are intended for professional and commercial use in the context of event management and business solutions.

3. User Account

• Account Creation: To use the Services, you may need to create a Quantex account. You are responsible for providing accurate and complete information during registration and maintaining its accuracy.

• Account Security: You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must notify Quantex immediately of any unauthorized use of your account or any other security breach.

• Organization Responsibility: If your account is created on behalf of an organization, that organization is responsible for all activities conducted by authorized users accessing the Services through that account.

4. Payment and Billing Terms

• Pricing Models: Services are primarily offered on a "per event" basis with different pricing models (Basic, Standard, Premium) based on the included features and services, as detailed in the specific Service Agreement for each event or business solution.

• Payment: The fees and payment terms are specified in the quote or separate contract signed between you and Quantex for each event or project. You must pay all due fees by the specified deadline according to the agreed terms.

• Taxes: The prices quoted do not include applicable taxes and duties, unless explicitly stated otherwise. You are responsible for paying all applicable taxes (such as Value Added Tax - VAT) imposed by competent authorities.

• Late Payments: In case of delay in paying any amounts due according to the terms specified in the quote or contract, Quantex reserves the right to impose late payment fees according to the terms set forth in the relevant quote or contract or as per applicable law.

5. Use of Services and User Conduct

License

Quantex grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Services in accordance with this Agreement and accompanying documentation. This license is granted solely for the purpose of using the Services for your legitimate event or business operations.

Acceptable Use

You agree to use the Services only for lawful purposes and in a manner that complies with all applicable laws and regulations, including, but not limited to, data protection and privacy laws, intellectual property laws, and public event regulations.

Prohibited Content

You are prohibited from using the Services to create, upload, display, transmit, publish, or distribute any content that is:

• Illegal, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, or otherwise objectionable in any way, or any content that is inconsistent with the purpose of the Services or harmful to Quantex or its other users.

• Infringes upon the intellectual property rights of any third party, including copyrights, trademarks, and trade secrets.

• Infringes upon the privacy or publicity rights of any third party.

• Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment.

• Constitutes hate speech or discrimination based on race, origin, religion, gender, sexual orientation, disability, or any other basis.

• Misleads, defrauds, or deceives others.
  d. Technical Restrictions: You agree not to:

• Modify, adapt, translate, or reverse engineer any portion of the Services.

• Attempt to gain unauthorized access to the Services or related systems or networks.

• Use any robot, spider, site search/retrieval application, or other manual or automatic device to retrieve, index, "scrape," "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Services or their contents.

Event Responsibility

You are solely responsible for the overall planning, execution, all required licenses and permits, safety, and the overall participant experience of your events. Quantex provides the technological layer and related services, but is not responsible for operational aspects directly unrelated to the Services provided.

6. User Content and Data

Data Ownership

You retain all ownership rights in the content and data you submit to the Services or that is generated through your use of the Services for your events (e.g., participant lists, interaction data, event analytics, speaker content uploads).

Data License

You grant Quantex a worldwide, non-exclusive, royalty-free license, valid throughout the term of this Agreement and any relevant specific Service Agreements, and for a limited period thereafter solely for legal compliance or reasonable backup purposes. This license is limited to using your data and event content for the sole purpose of providing the Services to you, improving the Services (as described below), and meeting any legal requirements. The license includes, without limitation, the right to host, store, modify, create derivative works from, communicate, publish, transmit, and display your data and event content to achieve the stated purposes.

Use of Data for Service Improvement

You agree that Quantex may collect and use aggregated and anonymized data (which does not directly identify you or any individual participant in your events) for the purpose of improving the Services, developing new features, conducting research, analysis, and generating market reports. Quantex retains all ownership rights in this aggregated and anonymized data.

Personal Data and Participant Data

• You acknowledge that the use of the Services may involve the collection and processing of personal data of participants and speakers (including, but not limited to, contact information, interactions with AI Avatars, registration data, and biometric data such as facial prints or voice for registration purposes).

• With respect to such data, you act as the "Data Controller" and Quantex acts as the "Data Processor".

• You are responsible for ensuring compliance with all applicable data protection laws (including obtaining the necessary consents from participants and speakers for the collection and processing of their personal and biometric data by Quantex to provide the Services, especially when using QID card and biometric solutions).

• Quantex will process personal data in accordance with your documented and reasonable instructions and in compliance with this Agreement and applicable laws.

Data Processing and Security - Summary of Privacy Policy and Data Processing Addendum:

Quantex is committed to protecting the privacy of your data and your event participants' data. Our Privacy Policy describes in detail how we collect, use, disclose, and protect data when you use our Services. Personal data is also processed according to the terms of a Data Processing Addendum (DPA), which is incorporated herein by reference. The User (as Controller) agrees to the terms of the DPA by assuming full responsibilities under applicable laws. Below is a summary of key points regarding data processing on your behalf:

• Types of Data Collected and Processed: We process various types of data to provide and operate the Services, including registration information (e.g., names, contact details, organizational details), biometric data (if Smart Registration features are enabled with explicit consent), participant interaction data (e.g., sessions attended, questions asked to AI Avatars, QID card interactions), event performance and analytics data (e.g., session attendance, live sentiment analysis, participant flow), and content uploaded or generated through your use of the Services (e.g., speaker content, AI Avatar responses).

• How Data is Collected: Data is primarily collected through your direct input into the system, participants' interactions with the Services (AI Avatars, Smart Registration, session tracking via QID cards), and data automatically generated through the use of the Services (performance analytics, interaction data).

• Purposes of Data Processing: We process this data solely for the purpose of providing the agreed Services for your event, including enabling registration and access using QID cards and biometrics (where applicable), providing AI Avatar interactions, offering analytics tools and insights, building the Event Knowledge Bank, and supporting seamless event operations. We also use aggregated and anonymized data as described in Section 6(c) for developing and improving our Services.

• Data Sharing: We do not sell or rent your data or participant data to third parties for marketing purposes. We may share data only with trusted third-party service providers ("Subprocessors") who act on our behalf to help operate and provide the Services (such as cloud hosting services, specialized data processing tools). When using Subprocessors, Quantex ensures they are bound by confidentiality and data protection agreements similar to those required of Quantex under this Agreement and the DPA. If legally required, Quantex will inform the User of Subprocessors as specified in the DPA. We may also disclose data if legally required (such as in response to a court order or subpoena).

• Data Security: We implement appropriate technical and organizational security measures to protect data from unauthorized access, alteration, disclosure, or destruction. These measures are detailed in the full Privacy Policy.

• Data Retention: We retain data for the duration necessary to provide the agreed Services and for your legitimate purposes (e.g., post-event analysis, reference in the Knowledge Bank), and according to the retention periods specified in the Privacy Policy or as agreed in the specific Service Agreement and DPA, and as required by legal obligations.

• Data Subject Rights: As the Data Controller, you are primarily responsible for responding to requests from data subjects (participants, speakers) regarding their rights under applicable data protection laws (e.g., rights of access, rectification, erasure, objection to processing). Quantex, as the Data Processor, will provide reasonable assistance to help you respond to these requests, in accordance with the terms of the Data Processing Addendum and the Privacy Policy.

7. Intellectual Property

• Quantex Ownership: All intellectual property rights in the Services, the related software, technology, designs, logos, and trademarks (including the QUANTEX trademark), and the Avatars (as service tools), and any materials created by Quantex as part of the Services (excluding User Content) are owned by Quantex or its licensors. This Agreement does not grant you any rights in any of Quantex's intellectual property rights beyond the limited right to use the Services under the license granted in Section 5(a).

• Avatars and AI-Generated Content: The Avatars themselves are owned by Quantex. Specific content (such as text or audio responses) generated by participants' interactions with the Avatars, and analytics resulting from the use of the Services, are generally considered "User Content" under Section 6(a), as they are based on your input and event data. However, you acknowledge that the underlying AI capabilities that generate this content are owned by Quantex or its licensors.

8. Confidentiality

The parties may obtain confidential information from the other party concerning this Agreement or the use of the Services. "Confidential Information" includes any non-public information related to a party's business, operations, plans, technology, computer programs (including source code and object code), technical specifications, performance data, customer information, or other information that is marked as confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees not to use the other party's Confidential Information except for the purposes of performing this Agreement and to maintain its confidentiality using the same degree of care it uses to protect its own confidential information of a similar nature, but no less than reasonable care.

9. Warranties and Disclaimer

a. User Warranties: You represent and warrant that you have all necessary rights, power, and authority to enter into this Agreement, provide the User Content and data, and permit Quantex to collect and process participant and speaker data in accordance with this Agreement, and that your use of the Services will not violate any law, regulation, or third-party rights.
b. Quantex Disclaimer: The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Quantex does not warrant that the Services will be error-free, uninterrupted, secure, or will meet your specific requirements (unless explicitly specified otherwise in a specific Service Agreement). You acknowledge that AI technology may sometimes produce unexpected or inaccurate outputs, and Quantex is not responsible for any decisions or actions taken by you based on outputs generated by the Services.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Quantex be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties; (c) any content obtained from the Services; and (d) unauthorized access, use, or alteration of your transmissions or content.

In no event shall the aggregate liability of Quantex for all claims relating to the Services exceed the amount you paid to Quantex for the Services giving rise to the claim during the twelve (12) months immediately preceding the date the claim arose.

11. Indemnification

You agree to defend, indemnify, and hold harmless Quantex and its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and partners from and against any and all claims, actions, lawsuits, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) any User Content you provide; (c) your breach of this Agreement; (d) your violation of any third-party rights, including without limitation, any intellectual property or privacy right; or (e) your failure to comply with applicable data protection and privacy laws, particularly regarding obtaining consents for the collection and processing of biometric and interaction data of participants.

12. Term and Termination

Term

This Agreement commences on the Effective Date or the date you first accept it, whichever is earlier, and remains in effect until terminated in accordance with its terms.

Termination

• Either party may terminate this Agreement in the event of a material breach of the Agreement by the other party, provided that the breaching party fails to cure such breach within thirty (30) days of receiving written notice identifying the breach.

• Quantex may terminate or suspend your access to the Services immediately, without liability to you, in the event of any of the following (including but not limited to): failure to pay fees by their due dates; your material violation of any term of this Agreement or a related specific Service Agreement (other than a curable breach subject to the preceding point); your violation of applicable laws (particularly those related to data or prohibited content); or if Quantex reasonably believes your use poses a security or technical risk.

• Quantex may terminate this Agreement or suspend or discontinue the Services (or any part thereof) for convenience upon not less than sixty (60) days' prior written notice to you. In case of total discontinuation of paid Services for convenience, Quantex will refund any prepaid fees for the unused portion of the Service period.

• Specific Service Agreements for each event may define additional specific termination terms for that event.

Effect of Termination

Upon termination, your right to use the Services immediately ceases. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Modifications to the Services and Agreement

Quantex reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will try to provide at least thirty (30) days' prior notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Services after these revisions become effective, you agree to be bound by the revised terms.

Quantex reserves the right to modify, suspend, or discontinue the Services (or any part thereof). Except as expressly provided otherwise in a specific Service Agreement, this may be done with or without notice, and Quantex shall not be liable to you or any third party for temporary modification or suspension of the Services for maintenance, security, or non-material improvements. For permanent discontinuation of a core paid feature or total discontinuation of Services for convenience, the termination clause in Section 12(b) shall apply.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Emirate of Dubai, United Arab Emirates, without regard to its conflict of laws principles.

Any dispute or claim arising out of or in connection with this Agreement, its breach, termination, validity, or any non-contractual dispute or claim arising out of or in connection with it, shall be subject to the exclusive jurisdiction of the Courts of Dubai.

15. Miscellaneous Provisions

Entire Agreement: This Agreement, together with any specific Service Agreements for the event (which are incorporated herein by reference), the Quantex Privacy Policy, and the Data Processing Addendum (DPA), constitutes the entire agreement between you and Quantex regarding the Services and supersedes all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

Waiver: Failure of Quantex to enforce any right or provision of this Agreement will not be considered a waiver of those rights.

Severability: If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement will remain in full force and effect, and the invalid or unenforceable provision shall be modified to the extent necessary to be enforceable under the law.

Assignment: You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of Quantex. Quantex may assign or transfer this Agreement freely without restriction.

1. أهلية المستخدم

1. حساب المستخدم

أ. إنشاء الحساب: لاستخدام الخدمات، قد تحتاج إلى إنشاء حساب Quantex. أنت مسؤول عن تقديم معلومات دقيقة وكاملة أثناء التسجيل والحفاظ على دقتها.

ب. أمن الحساب: أنت مسؤول عن الحفاظ على سرية بيانات تسجيل الدخول الخاصة بحسابك وجميع الأنشطة التي تحدث تحت حسابك. يجب عليك إخطار Quantex على الفور بأي استخدام غير مصرح به لحسابك أو أي خرق آخر للأمن.

ج. مسؤولية المنظمة: إذا تم إنشاء حسابك نيابةً عن منظمة، فإن المنظمة هي المسؤولة عن جميع الأنشطة التي يقوم بها المستخدمون المصرح لهم والذين يصلون إلى الخدمات من خلال هذا الحساب.

1. شروط الدفع والفوترة

أ. النماذج التسعيرية: يتم تقديم الخدمات بشكل أساسي على أساس "لكل فعالية" بنماذج تسعير مختلفة (أساسي، قياسي، مميز) بناءً على الميزات والخدمات المضمنة، كما هو مفصل في اتفاقية الخدمة المحددة لكل فعالية أو حل تجاري.

ب الدفع: يتم تحديد الرسوم والمصطلحات الدفعية في عرض الأسعار أو العقد المنفصل الموقع بينك وبين Quantex لكل فعالية أو مشروع. يجب عليك دفع جميع الرسوم المستحقة في الوقت المحدد وفقًا للشروط المتفق عليها.

ج. الضرائب: الأسعار المذكورة لا تشمل الضرائب والرسوم المطبقة، ما لم ينص على خلاف ذلك صراحةً. أنت مسؤول عن دفع جميع الضرائب المعمول بها (مثل ضريبة القيمة المضافة التي تفرضها السلطات المختصة.

د. المدفوعات المتأخرة: في حال التأخر عن سداد أي مبالغ مستحقة وفقًا للشروط المحددة في عرض الأسعار أو العقد، يحق لـ Quantex فرض رسوم تأخير وفقًا للشروط المنصوص عليها في عرض الأسعار أو العقد ذي الصلة أو وفقًا للقانون المعمول به.

ب. الاستخدام المقبول: أنت توافق على استخدام الخدمات فقط لأغراض مشروعة وبطريقة تتوافق مع جميع القوانين واللوائح المعمول بها، بما في ذلك على سبيل المثال لا الحصر، قوانين حماية البيانات والخصوصية، وقوانين الملكية الفكرية، والقوانين المتعلقة بالفعاليات العامة.

ج. المحتوى المحظور: يحظر استخدام الخدمات لإنشاء أو تحميل أو عرض أو نقل أو نشر أو توزيع أي محتوى:

غير قانوني، ضار، تهديدي، مسيء، مضايق، تشهيري، فاحش، بذيء، أو أي محتوى يتعارض مع أغراض الخدمات أو يضر بـ Quantex أو مستخدميها الآخرين.

ينتهك حقوق الملكية الفكرية لطرف ثالث، بما في ذلك حقوق النشر والعلامات التجارية والأسرار التجارية.

ينتهك حقوق الخصوصية أو الدعاية لطرف ثالث.

يحتوي على فيروسات برامج أو أي شفرة حاسوبية أخرى أو ملفات أو برامج مصممة للمقاطعة أو التدمير أو الحد من وظائف أي برنامج حاسوبي أو جهاز أو معدات اتصالات.

يشكل خطاب كراهية أو تمييزا على أساس العرق أو الأصل أو الدين أو الجنس أو التوجه الجنسي أو الإعاقة أو أي أساس آخر.

يضلل أو يحتال أو يخادع الآخرين.

د. التقييدات الفنية: أنت توافق على عدم:

استخدام أي روبوت، سبايدر، تطبيق بحث/استرداد للموقع، أو أي جهاز يدوي أو آلي آخر لاسترداد أو فهرسة أو "استخراج البيانات" أو بأي شكل من الأشكال جمع أو استنساخ أو تجاوز الهيكل التنقل لخدمات Quantex أو محتوياتها.

هـ. مسؤولية الفعالية: أنت المسؤول الوحيد عن التخطيط العام لفعالياتك، وتنفيذها، وجميع التراخيص والتصاريح المطلوبة، والسلامة، وتجربة المشاركين الإجمالية. تقدم Quantex الطبقة التكنولوجية والخدمات المرتبطة بها، ولكنها ليست مسؤولة عن الجوانب التشغيلية غير المرتبطة مباشرة بالخدمات المقدمة.

1. محتوى المستخدم والبيانات

أ. ملكية البيانات: أنت تحتفظ بجميع حقوق الملكية في المحتوى والبيانات التي تقدمها إلى الخدمات أو التي يتم إنشاؤها من خلال استخدامك للخدمات لفعالياتك (مثل قوائم المشاركين، وبيانات التفاعل، وتحليلات الفعالية، ومحتوى المتحدثين الذي يتم تحميله).

ب. ترخيص البيانات: تمنح Quantex ترخيصا عالميًا، غير حصري، بدون حقوق ملكية، ساري المفعول طوال مدة هذه الاتفاقية وأي اتفاقيات خدمة محددة سارية، ولفترة محدودة بعد ذلك فقط لأغراض الامتثال القانوني أو النسخ الاحتياطي المعقولة. يقتصر هذا الترخيص على استخدام بياناتك ومحتوى الفعاليات فقط لغرض تقديم الخدمات لك، وتحسين الخدمات (كما هو موضح أدناه)، وتلبية أي متطلبات قانونية. يشمل الترخيص، على سبيل المثال لا الحصر، الحق في استضافة، تخزين، تعديل، إنشاء أعمال مشتقة من، اتصال، نشر، نقل، وعرض بياناتك ومحتوى الفعاليات لتحقيق الأغراض المذكورة.

د. البيانات الشخصية وبيانات المشاركين:

أنت تقر بأن استخدام الخدمات قد يتضمن جمع ومعالجة بيانات شخصية للمشاركين والمتحدثين (بما في ذلك على سبيل المثال لا الحصر، معلومات الاتصال، التفاعلات مع الصور الرمزية، بيانات التسجيل، بيانات القياسات الحيوية مثل بصمات الوجه أو الصوت لأغراض التسجيل).

فيما يتعلق بهذه البيانات، تعمل أنت بصفتك "متحكم البيانات" (Data Controller) وتعمل Quantex بصفتها "معالج البيانات" (Data Processor).

أنت مسؤول عن ضمان الامتثال لجميع قوانين حماية البيانات المعمول بها (بما في ذلك الحصول على الموافقات اللازمة من المشاركين والمتحدثين لجمع ومعالجة بياناتهم الشخصية والقياسات الحيوية بواسطة Quantex لتقديم الخدمات، خاصة استخدام بطاقات QID والحلول البيومترية).

كيفية جمع البيانات: يتم جمع البيانات بشكل أساسي من خلال إدخالك المباشر للبيانات في النظام، وتفاعلات المشاركين مع الخدمات (الصور الرمزية، التسجيل الذكي، تتبع الجلسات عبر بطاقات QID)، والبيانات التي يتم إنشاؤها تلقائيًا من خلال استخدام الخدمات (تحليلات الأداء، بيانات التفاعل).

أغراض معالجة البيانات: نقوم بمعالجة هذه البيانات فقط لتقديم الخدمات المتفق عليها لفعاليتك، بما في ذلك تمكين التسجيل والوصول باستخدام بطاقات QID والقياسات الحيوية (عند الاقتضاء)، وتوفير تفاعلات الصور الرمزية بالذكاء الاصطناعي، وتقديم أدوات التحليلات والرؤى، وبناء بنك المعرفة للفعالية، ودعم عمليات الفعالية السلسة. كما نستخدم البيانات المجمعة والمجهولة الهوية كما هو موضح في القسم (6(ج) لأغراض تطوير وتحسين خدماتنا.

مشاركة البيانات: لا نقوم ببيع أو تأجير بياناتك أو بيانات المشاركين لطرف ثالث لأغراض تسويقية. قد نشارك البيانات فقط مع موفري الخدمات الخارجيين الموثوق بهم ("المعالجين الفرعيين") الذين يعملون نيابة عنا للمساعدة في تشغيل وتقديم الخدمات (مثل خدمات الاستضافة السحابية، أدوات معالجة البيانات المتخصصة). في حال استخدام معالجين فرعيين، تضمن Quantex التزامهم باتفاقيات سرية وحماية بيانات مماثلة لتلك المطلوبة من Quantex بموجب هذه الاتفاقية وDPA، وإذا لزم الأمر قانونًا، ستقوم Quantex بإعلام المستخدم بهم وفقًا لما هو محدد في DPA. قد نكشف عن البيانات أيضًا إذا كان ذلك مطلوبًا قانونيًا (مثل الاستجابة لأمر محكمة أو استدعاء قضائي).

1. الملكية الفكرية

أ. ملكية Quantex: جميع حقوق الملكية الفكرية في الخدمات، والبرامج المرتبطة بها، والتكنولوجيا، والتصاميم، والشعارات، والعلامات التجارية (بما في ذلك علامة QUANTEX التجارية)، والصور الرمزية (كأدوات خدمية)، وأي مواد أنشأتها Quantex كم جزء من الخدمات (باستثناء محتوى المستخدم) هي ملك لشركة Quantex أو مرخصيها. لا تمنحك هذه الاتفاقية أي حقوق في أي من حقوق الملكية الفكرية لـ Quantex بخلاف الحق المحدود في استخدام الخدمات بموجب الترخيص الممنوح في القسم 5 (أ).

1. السرية

قد تحصل الأطراف على معلومات سرية من الطرف الآخر فيما يتعلق بهذه الاتفاقية أو استخدام الخدمات. تُعتبر "المعلومات السرية" أي معلومات غير عامة تتعلق بأعمال الطرف، عملياته، خططه، التقنيات، برامج الكمبيوتر (بما في ذلك كود المصدر والكود الهدف)، المواصفات الفنية، بيانات الأداء، معلومات العملاء، أو أي معلومات أخرى يتم تحديدها كتابيًا على أنها سرية أو التي يجب على الطرف المتلقي فهم طبيعتها على أنها سرية نظرًا لطبيعة المعلومات وظروف الكشف عنها. يوافق كل طرف على عدم استخدام المعلومات السرية للطرف الآخر إلا لأغراض أداء هذه الاتفاقية والحفاظ على سريتها باستخدام نفس درجة العناية المعقولة التي يستخدمها لحماية معلوماته السرية، ولكن ليس أقل من درجة العناية المعقولة.

1. الضمانات وإخلاء المسؤولية

أ. ضمانات المستخدم: أنت تقر وتضمن أن لديك جميع الحقوق والسلطات والموافقات اللازمة لاستخدام الخدمات، وتقديم محتوى المستخدم وبياناته، والسماح لـ Quantex بجمع ومعالجة بيانات المشاركين والمتحدثين وفقًا لهذه الاتفاقية، وأن استخدامك للخدمات لن ينتهك أي قانون أو لائحة أو حقوق طرف ثالث.

ب. إخلاء مسؤولية Quantex: يتم تقديم الخدمات على أساس "كما هي" و"حسب التوفر" دون أي ضمانات من أي نوع، صريحة أو ضمنية، بما في ذلك على سبيل المثال لا الحصر، الضمانات الضمنية للقابلية للتسويق، والملاءمة لغرض معين، وعدم الانتهاك. لا تضمن Quantex أن الخدمات ستكون خالية من الأخطاء، أو غير منقطعة، أو آمنة، أو تلبي متطلباتك المحددة (ما لم يتم تحديد ذلك صراحة في اتفاقية الخدمة الفردية). أنت تقر بأن استخدام تكنولوجيا الذكاء الاصطناعي ينطوي على إمكانية إنتاج مخرجات غير متوقعة أو غير دقيقة في بعض الأحيان، ولا تتحمل Quantex مسؤولية أي قرارات أو إجراءات تتخذها بناءً على المخرجات الناتجة عن الخدمات.

1. تحديد المسؤولية

إلى أقصى حد يسمح به القانون المعمول به، لن تكون Quantex مسؤولة عن أي أضرار غير مباشرة، عرضية، خاصة، تبعية، نموذجية، أو عقابية، أو أي خسارة في الأرباح أو الإيرادات، سواء كانت متكبدة بشكل مباشر أو غير مباشر، أو أي فقدان للبيانات، أو الاستخدام، أو الشهرة، أو الخسائر غير الملموسة الأخرى، الناتجة عن (أ) وصولك إلى الخدمات أو استخدامها أو عدم قدرتك على الوصول إليها أو استخدامها؛ (ب) أي سلوك أو محتوى لأي طرف ثالث على الخدمات، بما في ذلك على سبيل المثال لا الحصر، أي سلوك تشهيري، مسيء، أو غير قانوني لمستخدمين آخرين أو أطراف ثالثة؛ (ج) أي محتوى تم الحصول عليه من الخدمات؛ و (د) الوصول غير المصرح به إلى عمليات الإرسال أو المحتوى الخاص بك أو استخدامه أو تغييره.

في أي حال من الأحوال، لن يتجاوز إجمالي مسؤولية Quantex عن جميع المطالبات المتعلقة بالخدمات المبلغ الذي دفعته لـ Quantex مقابل الخدمات التي أدت إلى المطالبة في غضون الاثني عشر (12) شهرًا السابقة لتاريخ تقديم المطالبة.

1. التعويض

أنت توافق على الدفاع عن Quantex وفروعها والشركات التابعة لها والمسؤولين والمديرين والموظفين والوكلاء والمرخصين ضد ومن جميع المطالبات، الإجراءات الدعاوى القضائية، الخسائر، المسؤوليات، الأضرار التكاليف، والنفقات (بما في ذلك أتعاب المحاماة المعقولة) الناشئة عن أو المتعلقة بما يلي: (أ) استخدامك للخدمات؛ (ب) أي محتوى مستخدم تقدمه؛ (ج) انتهاكك لهذه الاتفاقية؛ (د) انتهاكك لحقوق طرف ثالث، بما في ذلك على سبيل المثال لا الحصر حقوق الملكية الفكرية أو الخصوصية؛ أو (هـ) عدم امتثالك لقوانين حماية البيانات والخصوصية المعمول بها، وخاصة فيما يتعلق بالحصول على موافقات المشاركين لجمع ومعالجة البيانات البيومترية وبيانات التفاعل.

1. مدة الاتفاقية والإنهاء

أ. المدة: تسري هذه الاتفاقية اعتبارًا من تاريخ سريانها أو تاريخ موافقتك عليها، أيهما أسبق، وتظل سارية حتى يتم إنهاؤها وفقًا لشروطها.

ب. الإنهاء:

يجوز لأي من الطرفين إنهاء هذه الاتفاقية في حالة حدوث خرق جوهري للاتفاقية من قبل الطرف الآخر إذا لم يتم تصحيح هذا الخرق في غضون ثلاثين (30) يومًا من استلام إشعار كتابي بالخيار.

قد تقوم Quantex بإنهاء أو تعليق وصولك إلى الخدمات فورًا، دون تحمل مسؤولية تجاهك، في حال حدوث أي من الأسباب التالية (على سبيل المثال لا الحصر): عدم سداد الرسوم المستحقة في مواعيدها، انتهاكك الجوهري لأي من بنود هذه الاتفاقية أو اتفاقية خدمة محددة مرتبطة (بخلاف الخرق الذي يمكن تصحيحه والذي ينطبق عليه البند السابق)، انتهاكك للقوانين المعمول بها (لا سيما المتعلقة بالبيانات أو المحتوى المحظور)، أو إذا رأت Quantex أن استخدامك يشكل خطرًا أمنيًا أو تقنيًا.

يحق لـ Quantex إنهاء هذه الاتفاقية أو تعليق أو إيقاف الخدمات (أو جزء منها) لغير سبب ("for convenience") بموجب إشعار مسبق كتابي لا يقل عن ستون (60) يومًا لك. في حال الإيقاف الكلي للخدمة المدفوعة لغير سبب، ستقوم Quantex برد أي رسوم مدفوعة مقدماً عن فترة الخدمة غير المستخدمة.

قد تحدد اتفاقيات الخدمة الفردية لكل فعالية شروط إنهاء إضافية خاصة بتلك الفعالية.

ج. أثر الإنهاء: عند الإنهاء، يتوقف حقك في استخدام الخدمات فورًا. ستظل جميع الأحكام التي بحكم طبيعتها، يجب أن تظل سارية بعد الإنهاء، تظل سارية المفعول بعد الإنهاء، بما في ذلك، على سبيل المثال لا الحصر، أحكام الملكية، إخلاء المسؤولية عن الضمانات، تحديد المسؤولية، والتعويض.

1. التغييرات في الخدمات والاتفاقية

تحتفظ Quantex بالحق، وفقًا لتقديرها الخاص، في تعديل أو استبدال هذه الاتفاقية في أي وقت. إذا كان التعديل جوهريا، سنحاول تقديم إشعار قبل ثلاثين (30) يومًا على الأقل قبل سريان الشروط الجديدة. ما يشكل تغييرًا جوهريا سيتم تحديده وفقًا لتقديرنا الخاص. من خلال الاستمرار في الوصول إلى الخدمات أو استخدامها بعد سريان هذه المراجعات، فإنك توافق على الالتزام بالشروط المعدلة.

تحتفظ Quantex بالحق في تعديل أو تعليق أو إيقاف الخدمات (أو أي جزء منها). باستثناء ما ينص عليه صراحة في اتفاقية خدمة محددة، قد يتم ذلك بإشعار أو بدونه، ولن تكون Quantex مسؤولة تجاهك أو تجاه أي طرف ثالث عن التعديل أو التعليق المؤقت للخدمات لأغراض الصيانة أو الأمن أو التحسينات غير الجوهرية. بالنسبة للإيقاف الدائم لميزة أساسية مدفوعة أو الإيقاف الكلي للخدمات لغير سبب، سيتم تطبيق بند الإنهاء المذكور في القسم 12(ب).

1. القانون الحاكم وحل النزاعات

تخضع هذه الاتفاقية وتُفسر وفقًا لقوانين إمارة دبي، الإمارات العربية المتحدة، دون اعتبار لتعارض مبادئ القوانين.

أي نزاع أو مطالبة تنشأ عن أو تتعلق بهذه الاتفاقية أو خرقها أو إنهائها أو بطلانها أو أي نزاع غير تعاقدي ينشأ عن أو فيما يتعلق بها، يوافق الطرفان بشكل لا رجعة فيه على الاختصاص الحصري لمحاكم دبي.

1. أحكام متنوعة

أ. الاتفاقية الكاملة: تشكل هذه الاتفاقية، بالإضافة إلى أي اتفاقيات خدمة محددة للفعالية (التي يتم إدراجها هنا بالإشارة)، ووثيقة سياسة الخصوصية الخاصة بـ Quantex، واتفاقية معالجة البيانات (DPA)، الاتفاقية الكاملة بينك وبين Quantex فيما يتعلق بالخدمات وتحل محل جميع الاتصالات والمقترحات والاتفاقيات السابقة أو المتزامنة، سواء كانت شفهية أو كتابية.

ب. التنازل: لا يُعتبر فشل Quantex في تطبيق أي حق أو حكم من هذه الاتفاقية تنازلاً عن هذا الحق أو الحكم.

ج. قابلية الفصل: إذا تبين أن أي حكم من هذه الاتفاقية غير صالح أو غير قابل للتنفيذ من قبل محكمة ذات اختصاص قضائي، فسيظل هذا الحكم ساري المفعول بالقدر الذي يسمح به القانون، وسيتم تعديل الأحكام المتبقية من الاتفاقية لتظل سارية المفعول بالكامل.

د. التنازل عن الحقوق: لا يجوز لك التنازل عن حقوقك أو التزاماتك بموجب هذه الاتفاقية أو نقلها دون موافقة كتابية مسبقة من Quantex. يجوز لـ Quantex التنازل عن هذه الاتفاقية أو نقلها بحرية دون قيود.
